Since 2004, we have represented clients in complex transactional and governance matters involving Delaware business entities. Our transactional practice focuses on mergers and acquisitions, international transactions, corporate and structured finance transactions, secured transactions and transactions involving federal tax incentive programs and rendering domestic and cross-border third-party closing opinions relating thereto. Our governance practice focuses on advising management and stakeholders on their fiduciary and statutory obligations under Delaware law. We have represented boards of directors, managing members, investor members, general partners, limited partners, independent directors or managers, trustees, officers, special committees, stockholder activists and other constituents of public and private companies, including venture capital and private equity firms. The attorneys of The Delaware Counsel Group LLP (“DECG”) are actively engaged in industry organizations to deliver the level of service their clients have come to expect.
Team
Headed by founding partner, Ellisa Opstbaum Habbart, the firm’s attorneys also include Scott L. Matthews and Lisa R. Stark, both of whom have been practicing for over ten years. DECG prides itself on the knowledge and experience of its attorneys and legal staff. The focus of its practice makes it a valuable resource by providing experienced counsel in a select area of law, who are nimble and attuned to their clients’ needs. The firm’s philosophy embodies an “expert team” approach for clients who appreciate relationship-based legal services.
Our Philosophy
Our firm structure provides incentives for each lawyer to know and understand your business issues. Translation: no billable hour requirement. We spend our time and the money necessary to learn your business; get to know your key people and your culture. Your issues are discussed without the lawyer feeling pressured to bill every minute of the time. This is a long term perspective. By making the time investment, we are able to provide advice that works given your culture. The lawyer you meet is the lawyer that does your work. There are no junior lawyers training on your legal matter.
You should know what we are. We are counselors. Many of our clients are other law firms. We do not supplant a firm’s team of lawyers. We want to be part of that team; the part that guides and advises on the Delaware law issues. Our goal is to enhance your existing legal team, whether it is inside counsel and/or outside counsel. You tell us how you like your work delivered. Some clients like faxes; others prefer conference calls or e-mails. Some clients want to do the drafting; others would rather review drafts we prepare.
You should know what we are not. We are not your firm if you are looking for the lowest price. We understand that our first matter from you may not be a “break the company” matter. Given the way we practice, however, we believe you will see the value we add and hire us the next time you have Delaware Counsel needs. We do not practice in every area of law from antitrust to zoning. We cannot and will not provide services in every field of law. Our work as Delaware Counsel around the country and abroad, however, allows us to pull in the best lawyer in every area, if needed. We can help you craft your own full service team.
While the members of the group have all of the experience and maintain all of the credentials of traditional Delaware lawyers, the group delivers its service in a modern manner. Given that we only have senior level lawyers in our group, your services are delivered in an efficient manner that is cost effective. We consider expenses for telephone, postage and fax as part of our overhead and we do not have minimum billable hour requirements.
