Representation Matters
Sale: Advised Hendrix Genetics B.V., a Netherlands company and one of the largest layer breeding operations in the world, in connection with the sale of its Hybro B.V. subsidiary to Cobb-Vantress, Inc., a subsidiary of Tyson Foods Inc. and the world’s oldest poultry breeding company.
Purchase: Served as Delaware regulatory counsel to Bank of America in connection with its acquisition of MBNA.
Acquisition: Advised management on how to accomplish acquisition in compliance with Delaware law, terms of limited liability company agreement and applicable Delaware fiduciary duties.
Limited Liability Company Merger: Converted a Portuguese limited liability company into Delaware limited liability company; reviewed existing documents and prepared the limited liability company agreement for a new Delaware LLC, subject to input from company’s tax and securities counsel.
Limited Partner Merger: Consulted with New York counsel to confirm understanding of law governing New York limited partnership in order to draft comparable Delaware limited partnership agreement, subject to input from limited partnership’s tax and securities counsel.
