Accenture Inc. – Engaged as Delaware counsel to assist on an array of matters involving Delaware subsidiaries and affiliates of Accenture Inc., including the reorganization, merger, conversion, and operation of such entities. Accenture Inc. is a global management consulting, technology services and outsourcing company that employs more than 223,000 people in 120 countries.
Capmark Financial Group Inc. – Advised and provided legal opinions in connection with the restructuring of various subsidiary funds of Capmark Financial Group Inc. pursuant to a $20 billion Chapter 11 reorganization.
Jersey Telecom Limited – Advised this company, organized under the laws of Jersey, concerning fiduciary duties in connection with acquisition of eKit.com Inc., a publicly traded Delaware corporation, by an interested majority bloc of stockholders, and reviewed and negotiated the merger agreement.
Magento Inc. – Advised the majority bloc of stockholders of Magento Inc., concerning contractual and fiduciary duties in connection with the sale of their holdings to eBay Domestic Holdings, Inc., a Delaware corporation. The acquiring company is a wholly owned subsidiary of eBay Inc., an Internet company that posted revenues in excess of $9 billion in 2010.
SunTrust Delaware Trust Co. – Advise management on Delaware law issues, including corporate governance matters, the advisability and implementation of new product lines and the way to best protect SunTrust Delaware Trust Co. in existing and pending transactions. SunTrust Delaware Trust Co. is an affiliate of SunTrust Banks Inc., one of the largest and strongest financial holding companies in the United States, with total assets of $172 billion as of 2010.
Telefónica, S.A. – Advised management in connection with the dissolution and termination of LE Holding Corp., a Delaware corporation and a wholly-owned subsidiary of Telefonica, S.A., a company organized under the laws of the Kingdom of Spain that had total assets of $132 billion at the end of 2010.
The Royal Bank of Scotland International Limited – Advised on the Delaware law aspects of a bridge facility extended by The Royal Bank of Scotland International Limited and The Royal Bank of Scotland plc to an English limited partnership acting through LaSalle European Recovery III GP LLC, a Delaware limited liability company.
U.S. Tax Credit Industry – Advise on issues of Delaware law and render Delaware legal opinions for numerous clients in connection with transactions relating to federal Low Income Housing Tax Credits, Renewable Energy Tax Credits, Federal Historic Preservation Tax Incentives and New Market Tax Credits, all programs that provide incentives to make equity investments in various vehicles.
